Terms of Service
Last updated: August 9, 2026
These Terms of Service ("Terms") govern your access to and use of the DZ Fleet Suite platform, websites, mobile applications, and related services (collectively, the "Service") provided by DZ Fleet Suite ("we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are accepting on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.
1. The Service
DZ Fleet Suite is a fleet maintenance and operations platform providing work order management, preventive maintenance scheduling, DVIR inspections, parts and inventory management, driver tools, analytics, and optional integrations and AI-assisted features. We may improve, modify, or discontinue features over time; material reductions in core functionality during a paid term entitle you to the remedies in Section 6.
2. Accounts and Eligibility
- You must provide accurate registration information and keep it current.
- You are responsible for all activity under your account and for safeguarding user credentials. Notify us promptly of any unauthorized use.
- The Service is intended for business use by persons 18 years or older.
- You are responsible for managing the roles and permissions you grant your team within the platform.
3. Free Trial
New accounts receive a free trial (currently 90 days, subject to change for new signups). No payment method is required to start a trial. At the end of the trial, continued use of paid features requires an active subscription. We may adjust trial length, features available during trial, or eligibility for future signups at any time; changes do not shorten a trial already in progress.
4. Subscriptions, Billing, and Taxes
- Paid plans are billed monthly in advance through our payment processor, Stripe. By subscribing, you authorize recurring charges to your payment method.
- Plan pricing and limits are described at dzfleetsuite.com/pricing. We may change prices with at least 30 days' notice; changes take effect at your next billing cycle.
- Fees are exclusive of taxes; you are responsible for applicable sales, use, or similar taxes.
- You can cancel at any time from the billing page or by contacting helpdesk@dzfleetsuite.com; cancellation takes effect at the end of the current billing period. Except where required by law or expressly stated in these Terms, payments are non-refundable, though we may issue refunds or account credits at our discretion.
5. Your Data
- You retain all rights to the data you and your users submit to the Service — fleet records, work orders, inspections, photos, documents, and telematics data ("Customer Data").
- You grant us a limited license to host, process, transmit, and display Customer Data solely to provide and support the Service.
- We do not sell Customer Data. Our collection and handling of personal information is described in our Privacy Policy.
- You are responsible for the accuracy and lawfulness of Customer Data, including having the right to submit data about your drivers and employees.
- Upon written request within 30 days of account closure, we will make your Customer Data available for export in a common format, after which we may delete it.
6. Availability and Support
We work to keep the Service available and performant, but the Service is provided without a guaranteed uptime level unless a separate written agreement says otherwise. If we materially fail to provide the Service during a paid period, your exclusive remedy is a pro-rated credit or refund for the affected period. Support is available via the in-app help desk and helpdesk@dzfleetsuite.com.
7. Acceptable Use
You agree not to:
- Use the Service in violation of law, or to store or transmit unlawful, infringing, or harmful material;
- Probe, scan, or test the vulnerability of the Service, or bypass authentication or usage limits;
- Reverse engineer, resell, sublicense, or provide the Service to third parties as a service bureau;
- Interfere with other tenants' use of the Service or attempt to access another tenant's data;
- Use automated means to scrape the Service outside of documented interfaces.
We may suspend accounts that pose a security risk, are materially delinquent, or violate this section, with notice where practicable.
8. Third-Party Services and Integrations
The Service interoperates with third-party services you choose to connect, such as Verizon Connect Reveal telematics and payment processing by Stripe. Your use of third-party services is governed by their terms, and we are not responsible for their availability or acts. Telematics-derived values (odometer, engine hours, diagnostic codes, vehicle location) are provided as reported by the third-party source and may be delayed or inaccurate.
9. AI-Assisted Features
Optional AI features (such as the AI Repair Assistant) generate suggestions using machine-learning models. Output may be inaccurate or incomplete and is provided for informational purposes only — it is not professional mechanical, safety, or compliance advice. Qualified personnel must independently verify any repair, safety, or compliance decision. You are responsible for your use of AI output.
10. Compliance Disclaimer
The Service provides tools that can support your regulatory processes (for example, DVIR records), but we do not warrant that use of the Service makes you compliant with DOT, FMCSA, OSHA, or any other regulation. Compliance with laws applicable to your operations remains your responsibility.
11. Intellectual Property
We and our licensors own the Service, including software, design, and documentation. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. If you provide feedback, we may use it without obligation to you.
12. Confidentiality
Each party will protect the other's non-public information with at least reasonable care and use it only as needed to perform under these Terms, except where disclosure is required by law.
13. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA; AND (B) OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. THESE LIMITS DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS, EITHER PARTY'S CONFIDENTIALITY BREACH, OR LIABILITY THAT CANNOT BE LIMITED BY LAW.
15. Indemnification
You will defend and indemnify us against third-party claims arising from Customer Data or your use of the Service in violation of these Terms or applicable law.
16. Termination
You may stop using the Service and cancel at any time. We may terminate or suspend the Service for material breach that remains uncured 15 days after notice, or immediately for violations of Section 7. Sections that by their nature should survive (including 5, 11–15, and 17–18) survive termination.
17. Changes to These Terms
We may update these Terms from time to time. For material changes we will provide notice (for example, by email or in-app notice) at least 15 days before they take effect. Continued use after the effective date constitutes acceptance.
18. General
These Terms are governed by the laws of the United States and the state in which DZ Fleet Suite is organized, without regard to conflict-of-law rules. If any provision is unenforceable, the remainder stays in effect. These Terms, together with the Privacy Policy and any order or plan terms, are the entire agreement between you and us regarding the Service. Questions? Contact helpdesk@dzfleetsuite.com.
